Otsuka Pharmaceutical Factory America, Inc. Acquires 60% Interest in Otsuka ICU Medical LLC and Subsidiarizes

As previously announced in the November 13, 2024 release titled "Otsuka Pharmaceutical Factory and ICU Medical Announce the Establishment of Joint Venture," Otsuka Pharmaceutical Factory America, Inc. (Head office: Schaumburg, Illinois; President and Representative Director: Shuichi Takagi; "OPFA"), a U.S. subsidiary of Otsuka Pharmaceutical Factory, Inc. (Head office: Naruto, Tokushima; President and Representative Director: Shuichi Takagi; "Otsuka Pharmaceutical Factory") and ICU Medical, Inc. (Head office: San Clemente, CA; Chairman of the Board and CEO: Vivek Jain; "ICU Medical") agreed to the capital participation of OPFA in the IV solution company newly established by the ICU Medical. As of May 1, 2025, OPFA has acquired a 60% interest in the IV solution business of ICU Medical making it a subsidiary of OPFA, and has renamed it Otsuka ICU Medical LLC (Head office: Austin, Texas; Chairman of the Board: Shuichi Takagi).

Otsuka ICU Medical LLC aims to strengthen the supply system of IV solutions in North America by leveraging its strong production capabilities in the region, ICU Medical's distribution network, and the advanced technologies developed by Otsuka Pharmaceutical Factory, a leading company in IV solutions in Japan. The company seeks to contribute to the stable supply of IV solutions, enhance its IV solution business in North America, and promote technological innovation in its IV solution products.
